1. Acceptance of Terms

By using Lemnia software and services, you agree to be bound by these terms of service. If you do not agree to these terms, do not use our software.

2. Service Description

Lemnia is a desktop AI assistant software that connects to your business systems (ERP, CRM, e-commerce) and allows you to query them and execute actions using natural language. All data processing happens locally on your computer.

3. License

We grant you a limited, non-exclusive, non-transferable license to use Lemnia software in accordance with these terms. The license is:

• For unlimited users within your organization
• Valid for the duration of your subscription
• Subject to payment of applicable fees

4. Your Responsibilities

You agree to:

• Maintain the security of your login credentials
• Ensure compliance with applicable laws when using the software
• Not attempt to reverse-engineer or decompile the software
• Not use the software for any illegal or unauthorized purpose

5. Payment and Billing

Lemnia service costs €299/month for unlimited users. Payment is charged monthly in advance. You may cancel at any time and your access will continue until the end of the billing period.

6. Intellectual Property

Lemnia and its associated ML models are our property. You retain all rights to your data and workflows. We claim no rights to any of your business data or configurations.

7. Limitation of Liability

Lemnia is provided "as is" without warranties of any kind. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount paid for the service in the preceding 12 months.

8. Termination

We may terminate or suspend your access immediately, without prior notice, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the service will immediately cease.

9. Governing Law

These terms are governed by Italian law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.
